PNG is lossless, so once an image is a PNG it can be edited and re-saved without degrading further. That is the honest reason to convert: not to recover quality that JPEG already discarded, but to stop losing more of it with each save.
Expect the file to get bigger, often several times over. PNG is built for flat colour and sharp edges, and a photograph has neither.
It is worth being clear about what this is for. Converting to PNG makes sense when the image is about to be edited, layered, or handed to something that insists on a lossless input. As a way of repairing a heavily compressed photograph it does nothing at all — the artefacts are stored just as faithfully as the picture.

Questions
Will converting to PNG improve quality?
No. Compression artefacts already in the JPEG are part of the picture now. It stops further loss; it cannot undo what happened.
Why is the PNG so much larger?
PNG stores every pixel exactly. Photographs have no repetition for it to exploit, so the file grows — a few times larger than the JPEG is normal.
Does the PNG have transparency?
It supports it, but a JPEG has none to bring, so the result is fully opaque.
